Hauser & Wirth is one of the world’s leading commercial galleries for modern and contemporary art. We are seeking a Legal Counsel to act as a right hand to the company General Counsel.
Responsibilities include but not limited to:
Draft and negotiate a variety of commercial agreements in an international environment (manufacturing and production agreements, supply agreements, printer agreements, website development agreements, advertising agreements, partnership contracts, etc.)
Draft and negotiate complex terms and conditions in a wide range of areas
Negotiate commercial transactions in Europe, the US and Asia
Draft and negotiate corporate contracts on behalf of the company (and its affiliates), including agreements with partners, service providers, and vendors
Advise on general corporate matters, including compliance, governance and organizational reporting documents
Draft privacy policies, NDAs, etc.
Advise our teams relating to data protection/privacy issues; address relevant data protection/transfer/processing issues
Draft and negotiate intellectual property licensing agreements, standard software licensing and development agreements
Review and be responsible for forms relating to Hauser & Wirth’s Gallery business: consignment, loan, purchase, sales agreements, and others
Assist the General Counsel in interfacing with, directing and supervising outside counsel where appropriate
Required knowledge, skills and qualifications:
EMEA-based lawyer with Master’s degree in Law/State exam
3-5 years of experience in an international law firm
Experience and excellent knowledge and understanding of
Corporate law and procedures
Commercial law (complex commercial agreements)
European privacy and data protection laws
IT law (complex technology/licensing agreements/technology development and technology transfer agreements, technology service agreements)
Intellectual property laws (licensing agreements)
Knowledge of applicable EU law, including relating to cross-border transactions
Broad experience in international business & cross-border agreements.
Familiarity with the contemporary art business including deal structures and contract forms
Excellent self-organization, independence, a high level of commitment
Interdisciplinary ability to understand diverse topics of a global corporate environment
Excellent writing, communication and interpersonal skills, with an ability to take initiative, think creatively and work strategically
Strong organizational and time-management skills, with an ability to multi-task, prioritize and work nimbly in a fast-paced environment
This is a full-time position, working Monday to Friday, committing to working at least 3 days out of our central London, Mayfair offices. Remote working is permitted for the remainder of the week.
Candidate may occasionally need to work additional hours/travel to other locations.
